These Marketplace Seller Terms ("Terms") govern participation in the Vercel Marketplace ("Marketplace") by approved sellers ("Seller", "you", or "your").
The Vercel Marketplace is a curated platform operated by Vercel ("Vercel", "we", "us", or "our") that allows approved Sellers to offer products and services to customers.
By applying to, accessing, or participating in the Vercel Marketplace, you agree to these Terms.
If you do not agree with these Terms, you may not participate as a Seller on the Vercel Marketplace.
The Vercel Marketplace is a curated platform where approved Sellers may offer products and services to customers.
Marketplace Items may include, but are not limited to:
Digital products.
Assets.
Software and systems.
Development services.
Design services.
Branding services.
Custom commissions.
Other approved products or services.
Seller access is granted only to individuals, organisations, or entities approved by Vercel.
Approval as a Seller does not create a partnership, employment relationship, or agency relationship between Vercel and the Seller unless explicitly agreed otherwise.
Vercel reviews and approves Sellers before they are permitted to participate in the Marketplace.
Vercel may consider factors including:
Quality of previous work.
Professional conduct.
Reliability.
Experience.
Reputation.
Compatibility with the Marketplace.
Submitting an application does not guarantee acceptance.
Vercel reserves the right to:
Approve or reject any Seller.
Request additional information.
Limit Seller access.
Remove Seller access.
Change Seller requirements.
Sellers are responsible for:
Providing accurate information.
Maintaining accurate listings.
Delivering products and services as described.
Providing appropriate customer support.
Maintaining reasonable quality standards.
Ensuring they have permission to sell all submitted content.
Following these Terms and applicable Vercel policies.
Sellers are responsible for their own Marketplace Items and customer obligations.
All Marketplace Items must be submitted to and approved by Vercel before being publicly available.
Vercel may review:
Product descriptions.
Pricing.
Images and previews.
Seller Terms.
Licensing conditions.
Delivery information.
Other listing details.
Vercel may request changes before approval.
Vercel may reject, hide, modify, or remove any Marketplace Item where necessary to protect the Marketplace, customers, or Vercel.
Approval of a Marketplace Item does not mean Vercel guarantees, endorses, or assumes responsibility for the Item.
Each Marketplace Item must have separate Seller Terms created by the Seller.
Seller Terms must clearly explain the conditions of the specific product or service, including where applicable:
Usage rights.
Licensing terms.
Ownership rights.
Delivery timelines.
Revision limits.
Support obligations.
Refund policies.
Restrictions on use.
Seller Terms must be reviewed and approved by Vercel before being published.
Seller Terms may not:
Conflict with Vercel Terms.
Misrepresent Vercel's involvement.
Create obligations for Vercel without written approval.
Remove protections required by Vercel policies.
Where a conflict exists, Vercel Terms and Marketplace Terms take priority.
Sellers must ensure they own, control, or have sufficient permission to sell all Marketplace Items.
Sellers may not submit:
Stolen content.
Unlicensed materials.
Copyright-infringing content.
Misappropriated assets.
Content belonging to another party without permission.
Vercel may remove any Marketplace Item where intellectual property concerns arise.
Where applicable, Sellers will receive the agreed revenue share or payment amount defined in their separate Seller Agreement with Vercel.
The specific terms regarding:
Revenue share percentage.
Payment schedule.
Payment method.
Minimum payout requirements.
Applicable deductions.
will be agreed separately between Vercel and each Seller.
Vercel will pay eligible Seller earnings within the agreed payment period.
Vercel may temporarily delay, review, or withhold payments where reasonably necessary, including where:
A product or service has not been completed.
A Seller has failed to deliver the agreed offering.
A customer dispute, refund, or chargeback exists.
Fraudulent activity is suspected.
A violation of these Terms has occurred.
Verification or investigation is required.
Payment holds are intended to protect customers, Sellers, and the Marketplace.
Vercel will make reasonable efforts to provide information regarding significant payment delays where appropriate.
Vercel will not permanently withhold legitimate Seller earnings without a valid reason.
Where refunds, chargebacks, or transaction reversals occur, Vercel may adjust Seller earnings accordingly.
Sellers are responsible for ensuring their Marketplace Items meet the descriptions and requirements provided to customers.
Vercel may assist in disputes but does not guarantee outcomes.
Vercel aims to maintain a high-quality Marketplace.
Vercel may review:
Customer feedback.
Delivery performance.
Product quality.
Seller communication.
Compliance history.
Sellers may be required to correct issues, improve listings, or address customer concerns.
Sellers may not:
Submit misleading listings.
Sell unauthorised content.
Manipulate reviews or sales.
Circumvent Vercel systems.
Abuse customer information.
Attempt to bypass Marketplace restrictions.
Use the Marketplace for illegal or harmful activity.
Misrepresent their relationship with Vercel.
Vercel may suspend, restrict, or remove any Seller or Marketplace Item where necessary.
Reasons may include:
Violation of these Terms.
Poor customer experience.
Failure to fulfil obligations.
Security concerns.
Intellectual property issues.
Fraud or abuse.
Harm to Vercel or Marketplace reputation.
Where practical, Vercel may provide notice and an opportunity to resolve issues before removal.
However, Vercel may take immediate action where necessary.
Sellers may receive confidential information relating to:
Marketplace operations.
Customers.
Internal processes.
Future features.
Business information.
Sellers must not disclose confidential information without permission from Vercel.
Additional confidentiality obligations may apply through separate Seller Agreements.
Sellers may not bypass restrictions, suspensions, or removals through:
Alternative accounts.
New organisations.
Third-party accounts.
Other individuals.
Vercel may associate accounts where evidence indicates common ownership, control, or purpose.
Vercel may modify, update, suspend, or discontinue any part of the Marketplace.
This includes:
Features.
Categories.
Requirements.
Availability.
Seller access.
Vercel will make reasonable efforts to minimise disruption but is not responsible for losses resulting from Marketplace changes.
Participation in the Marketplace does not create:
Employment.
Partnership.
Joint venture.
Agency relationship.
Sellers operate independently unless otherwise agreed in writing.
Vercel retains authority over:
Seller approval.
Marketplace access.
Listing approval.
Policy enforcement.
Marketplace operations.
Vercel decisions regarding Marketplace management are final unless Vercel chooses to review them.
By participating in the Vercel Marketplace, you confirm that:
You have read and accepted these Terms.
You understand your responsibilities as a Seller.
You agree to provide accurate products and services.
You agree to follow Vercel policies.
